Wild Fox Referrals

Referral Partner Program Terms

Version 1.0

Want the short version? Read the referral guidelines. These terms govern if anything differs.

These terms govern the Wild Fox Painting & Drywall Referral Partner Program (the "Program") offered by Wild Fox Painting, Inc., a Colorado corporation ("Wild Fox," "we," "us"). By applying to the Program you ("you," "Partner") agree to these terms.

1 What the Program is

The Program pays a referral commission to approved Partners who personally introduce a prospective customer to Wild Fox, when that customer hires Wild Fox and the resulting project is completed and paid in full.

2 Who can participate

Anyone 18 or older with a valid U.S. taxpayer identification number may apply, including professionals and trade businesses that already work with Wild Fox (see Section 4.8). Wild Fox may accept or decline any application, and may suspend or end a Partner's participation at any time, for any reason, with notice by email. Wild Fox employees, and members of their households, are not eligible to participate.

3 Your role — and what you are not

You are an independent referral source. You are not a Wild Fox employee, agent, contractor, salesperson, or representative, and nothing in the Program creates a partnership, joint venture, agency, or employment relationship.

You agree that you will not:

  • describe yourself as working for, representing, or being affiliated with Wild Fox beyond "referral partner";
  • quote prices, estimate costs, negotiate, offer discounts, or commit Wild Fox to any price, scope, schedule, warranty, or outcome;
  • make any promise, guarantee, or claim about Wild Fox's work, timing, products, or people;
  • use Wild Fox's name, logo, photos, or reviews in advertising, listings, websites, or social media without written permission;
  • send unsolicited messages, mass texts, robocalls, or emails to people you do not know, or otherwise contact people in a way that violates any law;
  • purchase, scrape, or trade lead lists, or submit names of people who have not personally agreed to hear from Wild Fox;
  • pay, offer, or share any part of a commission with a referred customer or with any third party as an inducement, unless Wild Fox has approved a customer offer in writing;
  • submit referrals for yourself, your household, or an entity you own.

Any of the above may result in declined referrals, forfeited commissions, and removal from the Program.

4 What counts as a Qualified Referral

A referral qualifies only if all of the following are true:

  1. Genuine introduction. You personally introduced or recommended Wild Fox to the customer, and the customer can confirm that you did. The customer need not remember your full name; "my Realtor recommended you," "our carpenter gave us your number," or using your referral link after speaking with you is sufficient. Providing a customer's name and contact details without making an introduction is not a referral. Names taken from social media groups, neighborhood apps, marketplaces, public posts, or lead lists are not personal introductions.
  2. Registered first. You registered the referral through the Partner portal, or the customer used your code or link, before Wild Fox first spoke with that customer about the project and before any estimate was issued. Registration establishes your claim; the introduction in item 1 makes it valid. Neither alone is a referral.
  3. A new opportunity. The referral brings Wild Fox a customer or project it did not already have. A customer already in contact with Wild Fox about a project, or an existing Wild Fox customer, generally does not qualify, and additional scope discovered on a project Wild Fox is already performing is not a referral. Wild Fox may approve a referral in these situations in writing where the relationship is old or the opportunity is genuinely new.
  4. First valid referral. If more than one Partner claims the same customer, Wild Fox considers both the referral records and the customer's confirmation of who introduced or recommended Wild Fox. Generally the first valid registered referral receives credit, provided that Partner actually made the introduction. Wild Fox may review overlapping or disputed referrals before assigning credit.
  5. Confirmed by Wild Fox. Wild Fox reviews every referral and decides, in its sole discretion, whether it qualifies. Wild Fox will typically confirm with the customer that you introduced or recommended Wild Fox. If the customer cannot confirm the introduction, the referral is declined.
  6. Within the window. A referral expires if the customer has not signed a Wild Fox proposal within 90 days of submission. After that, a new referral would be required and is subject to the same rules.
  7. No double compensation. No referral commission is paid where you are already compensated for obtaining, managing, or marking up the same Wild Fox work: for example, where Wild Fox performs the work as your subcontractor within your own customer contract, where you are paid a sales commission for bringing Wild Fox the project, or where Wild Fox is bidding through a third party's bid process. Wild Fox may approve a different arrangement in writing.
  8. Professionals and trade partners. Contractors, Realtors, designers, property managers, tradespeople and other professionals may participate. An existing business relationship with Wild Fox does not by itself disqualify a referral; the referral must still satisfy items 1 through 7. Any separate trade, vendor, or subcontract relationship you have with Wild Fox is governed by its own agreement, not by these terms.

5 The commission

  • Rate: 3% of the Commission Base.
  • Commission Base: the amount the customer actually pays Wild Fox for the referred project, including any change orders that were approved and paid. It excludes unpaid balances, refunds, credits, discounts granted after the fact, financing fees, and any amount Wild Fox does not collect.
  • Minimum project size: projects with a Commission Base under $1,000 do not earn a commission.
  • One project. The commission applies to the first project the referred customer hires Wild Fox for within the 90-day window. Later projects for the same customer do not earn a commission unless separately referred and approved.
  • Rate changes. Wild Fox may change the rate for future referrals with 30 days' notice. The rate in effect when a referral is approved applies to that referral.

Examples: $5,000 project → $150. $10,000 → $300. $25,000 → $750. A $30,000 project on which the customer has paid $24,000 → nothing until the balance is paid in full.

6 When a commission is earned

A commission is earned only when both of the following have happened:

  1. Wild Fox has completed the work on the referred project; and
  2. the customer has paid Wild Fox in full.

No commission is earned, and none is owed, if the project is cancelled, if the customer does not pay in full, if the customer's payment is refunded or charged back, or if the referral is declined or expires. If a refund or chargeback occurs after a commission has been paid, Wild Fox may deduct the overpaid amount from future commissions or request repayment.

7 How and when you are paid

  • Tax form first. Before any commission is paid, you must provide a completed IRS Form W-9 (or the form Wild Fox requests) through the Partner portal. Commissions are held until it is received.
  • Payout runs. Wild Fox processes earned commissions in batches, normally once or twice per month. Commissions earned in a period are paid in the next scheduled run, not individually as projects close.
  • Method. By Zelle or Venmo, to the account handle you provide in your portal account. You are responsible for keeping that handle current.
  • Statements. Each payment comes with a statement listing the referrals paid. Questions about a statement must be raised within 60 days.
  • Taxes. Commissions are reportable income to you. Wild Fox will issue IRS Form 1099-NEC where required by law. You are responsible for all taxes on amounts you receive.
  • Licensed professionals. If you hold a professional license (for example a real estate license), you are solely responsible for complying with any rules governing your receipt of referral fees, including disclosure to your clients or routing payment through your employing broker. Tell us at signup if payment must be made to a brokerage or other entity.

8 Customer information and privacy

You will only submit information about people who know you and have agreed to be contacted by Wild Fox. Wild Fox uses referral information to contact the customer about their project and to administer the Program. Wild Fox will not share the customer's project details, pricing, or documents with you beyond the status of the referral and the commission amount. Do not ask Wild Fox staff for customer or project information, and do not contact the customer on Wild Fox's behalf.

9 Program changes and termination

Wild Fox may change these terms or end the Program at any time. Changes are posted in the Partner portal with a new version number and effective date; you will be asked to accept the new version before submitting further referrals. Commissions already earned under earlier terms will be paid under those terms. Either of us may end your participation at any time by email; referrals approved before the end date remain eligible under Section 6.

10 General

  • Wild Fox's records are the record of the Program. Wild Fox will share the status of your referrals and commission calculations through the portal.
  • Wild Fox's decisions on whether a referral qualifies, the Commission Base, and the amount of any commission are final, made in good faith.
  • These terms are the entire agreement about the Program and replace any earlier discussions. They are governed by Colorado law. Any dispute will be resolved in the state or federal courts located in Douglas County, Colorado.
  • If any part of these terms is unenforceable, the rest still applies.
  • You may not assign your rights under the Program.
